TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between transjt Inc., a Delaware corporation ("transjt", "Company", "we", "us" or "our"), and you ("User", "you" or "your") governing your use of our AI-enhanced code generation platform, applications, and related services (collectively, "Services").

BY USING OUR SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

1. DEFINITIONS

  • 1.1 "Account": the user account created to access the Services.
  • 1.2 "AI Services": any third‑party artificial‑intelligence or machine‑learning functionality (including large‑language models) that is integrated into or made available through the Services in order to generate, analyse or improve software code or other content.
  • 1.3 "Input": any prompt, data, attachment or other material you submit to the Services (including to any AI Service).
  • 1.4 "Output": the content returned to you by the AI Services in response to Input.
  • 1.5 "Content": Input, Output and any other data, text, graphics, designs, audio, video or code that you upload, transmit or otherwise make available via the Services.
  • 1.6 "Subscription Plan": the package of paid features selected by you, as described on our pricing page at https://transjt.ai/pricing.
  • 1.7 "Tokens": the usage units allocated to your Account that are consumed when you use AI Services, with each Subscription Plan including a pre-defined monthly Token allocation. The usage units allocated to your Account that are consumed only when you execute Import Operations, at the rates specified by your Subscription Plan. Export Operations do not consume Tokens and are included with your Account.
  • 1.8 "Import Operations": actions involving the ingestion, upload, or transfer of data, designs, or code into the Services from external sources (e.g., Figma or GitHub).
  • 1.9 "Export Operations": actions involving the extraction, download, or transfer of generated outputs, data, or code out of the Services (e.g., transfers to a CMS like WordPress or HubSpot or via the transjt WordPress Plugin).

2. ACCEPTANCE AND ELIGIBILITY

Age Requirements:

  • You must be at least 13 years old to use our Services
  • Users under 18 require verifiable parental consent
  • Commercial accounts require users to be 18 or older with legal capacity to contract

Entity Representation:
If you’re accepting these Terms on behalf of a company or legal entity, you represent that you have authority to bind that entity to these Terms.

3. AI CODE GENERATION SERVICES

Service Description: Our Services include AI-powered code generation, completion, debugging assistance, and optimization tools that integrate with third-party AI models and services.

Third-Party AI Integration:

  • We partner with leading AI providers to power our code generation features
  • Your inputs may be processed by third-party AI services
  • We maintain appropriate data processing agreements with all AI providers
  • Third-party processing is subject to their respective terms and privacy policies

transjt WordPress Plugin: We provide a dedicated WordPress plugin to facilitate Export Operations. The plugin is provided "as is." While it is designed to securely install and switch between package versions, you are solely responsible for backing up your WordPress site environment prior to installation. We are not liable for any data loss, site downtime, or third-party plugin conflicts that may occur during the installation of transjt export packages.

Code Repository Integrations (e.g., GitHub): Our Services allow you to connect third-party code repositories (such as GitHub) to facilitate our "Code to CMS" and CMS deployment workflows. By connecting your repository, you grant transjt the necessary permissions (based on the scopes you authorize) to read and copy code on your behalf. We read and copy repository contents in order to produce Output. We do not write to, commit to, or otherwise modify your repository. You are responsible for the contents of any repository you connect. You must remove or exclude credentials, API keys, access tokens, certificates and similar secrets before connecting a repository, and you should scope the authorization to the repositories you intend us to process. We do not review repositories for secrets and are not responsible for the exposure, use or compromise of any secret contained in a repository you connect. If you become aware that a secret has been made available to the Services, you are responsible for revoking and rotating it.

  • You represent and warrant that you have the legal right and necessary permissions to grant us access to any connected repository.

     

  • Secrets and credentials: You are responsible for the contents of any repository you connect. You must remove or exclude credentials, API keys, access tokens, certificates and similar secrets before connecting a repository, and you should limit the authorization to the repositories you intend us to process. We do not review repositories for secrets and are not responsible for the exposure, use or compromise of any secret contained in a repository you connect. If you become aware that a secret has been made available to the Services, you are responsible for revoking and rotating it.

  • transjt is not responsible for any accidental code overwrites, merge conflicts, or data loss within your third-party repositories. You are strictly responsible for maintaining backups and reviewing all AI-generated code prior to merging or deploying it to production or your CMS.

4. USER ACCOUNTS AND RESPONSIBILITIES

Account Creation: You must provide accurate, complete information when creating an Account and keep this information updated.

Account Security: You are responsible for:

  • Maintaining the confidentiality of your Account credentials
  • All activities that occur under your Account
  • Notifying us immediately of any unauthorized use
  • Implementing appropriate security measures for sensitive data

Prohibited Uses: You may not:

  • Use our Services to develop competing AI models or services
  • Attempt to reverse engineer our AI models or extract training data
  • Generate Content that violates intellectual property rights
  • Create malicious, harmful, or illegal code
  • Circumvent usage limits, security measures, or safety mitigations
  • Share Account credentials or API keys with unauthorized parties
  • Use automated methods to extract data beyond normal API usage
  • Violate any applicable laws or regulations

Delegated Access and Team Invites: Our Services allow you to invite third parties, including HubSpot Super Admins or the transjt Support Team, into your workspace to assist with setup, integration, or troubleshooting. By granting access to these third parties, you acknowledge and agree that:

  • You are solely responsible for the actions taken by any third party you invite into your workspace.
  • You grant transjt Support the right to view, access, and temporarily modify your workspace configuration strictly for the purpose of resolving your requested support inquiries.

Third-Party Authentication (SSO): You may register and log into our Services using third-party authentication providers, such as GitHub, Google. HubSpot, Figma. By doing so, you authorize us to access and use certain information from your third-party account as permitted by that provider. You are solely responsible for maintaining the security of your third-party account credentials and for any activity that occurs on your transjt Account via this integration.

5. INTELLECTUAL PROPERTY

Our Rights:
transjt and its licensors own all rights, title, and interest in the Services, including all intellectual property rights. You may not copy, modify, distribute, or create derivative works of our Services.

Your Content:

      • Input Ownership: You retain ownership of Input you provide
      • Output Ownership: You own the Output you receive, subject to these Terms
      • Non-Uniqueness: Output may not be unique; similar Content may be generated for other users
      • Third-Party Rights: Output may be subject to third-party intellectual property rights
      • Your Rights in Input: You represent and warrant that you own, or hold all licences and permissions necessary to submit, all Input and repository contents you make available to the Services, and to grant the rights granted in these Terms. Where Input was generated by, exported from, or derived from a third-party tool — including AI code generation and design-to-code tools — you remain responsible for complying with that tool’s terms, and for confirming that they permit the use you make of the Input through the Services.
      • Open-Source Components: Repositories and Input may include third-party or open-source components subject to their own licence terms, which continue to apply to the corresponding parts of any Output. We do not review, audit or certify the licences applicable to your repository or its dependencies, and we make no representation that Output is free of open-source obligations. You are responsible for identifying and complying with those obligations, including any attribution, source-disclosure or copyleft requirements.

License to Us:
You grant us a non-exclusive, worldwide, royalty-free license to use your Content solely to:

      • Provide and improve our Services
      • Ensure security and prevent abuse
      • Comply with legal obligations

Your rights in Input:
You represent and warrant that you own, or hold all licences and permissions necessary to submit, all Input and repository contents you make available to the Services, and to grant the rights granted in this Section. Where Input was generated by, exported from, or derived from a third-party tool — including AI code generation and design-to-code tools — you remain responsible for complying with that tool’s terms, and for confirming that those terms permit the use you make of the Input through the Services.

Third-party and open-source components.
Repositories and Input may include third-party or open-source components subject to their own licence terms. Those terms continue to apply to the corresponding parts of any Output. We do not review, audit or certify the licences applicable to your repository or its dependencies, and we make no representation that Output is free of open-source obligations. You are responsible for identifying and complying with those obligations, including any attribution, source-disclosure or copyleft requirements.

6. DATA PROCESSING AND PRIVACY

US Operations with Global Compliance:

      • transjt Inc. is a Delaware corporation operating under US law
      • We process data in compliance with applicable privacy laws, including GDPR for EU users
      • Our Privacy Policy at https://transjt.ai/privacy/ provides detailed information about data collection and use

EU Users - GDPR Compliance:
For users in the European Union:

      • Legal Basis: We process your data based on contract performance, legitimate interests, or consent
      • Data Subject Rights: You have rights to access, rectify, erase, restrict, port, and object to processing
      • Data Transfers: We use Standard Contractual Clauses for transfers outside the EU
      • Contact: Our Data Protection Officer can be reached at dpo@transjt.ai

Sub-processors: We engage sub-processors to provide the Services, including source-control providers, hosting providers and AI model providers. We maintain a current list of sub-processors and will provide it on written request to dpo@transjt.ai. We will notify affected customers before adding or replacing a sub-processor that processes their personal data, and you may object on reasonable data-protection grounds.

Personal Data in Connected Repositories: Where a repository or Input you make available contains personal data for which you are the controller, we act as your processor in respect of that data and process it only on your documented instructions. Our Data Processing Agreement applies to that processing and, in the event of a conflict with this Section, prevails.

AI Training Opt-Out: You may opt-out of having your data used to train or improve AI models, though this may limit some service functionality.

7. SUBSCRIPTION PLANS AND BILLING

Subscription Terms:

  • Available Subscription Plans: Free, Pro, Team, Enterprise (details at https://transjt.ai/pricing)
  • Each Subscription Plan includes a pre-defined monthly allocation of Tokens
  • Billing occurs monthly or annually in advance
  • Automatic renewal unless cancelled before the next billing cycle
  • We may modify pricing with 30 days' notice

Token Usage and Renewal:

  • Tokens are consumed when you use AI Services
  • Each Subscription Plan includes a specific monthly Token allocation
  • Unused Tokens expire at the end of each monthly billing cycle and do not roll over
  • Token allocation renews automatically with each billing cycle

Additional Token Purchases:

  • Additional Tokens may be purchased as needed beyond your monthly allocation
  • Additional Token purchases are charged immediately upon purchase
  • Token purchases are non-refundable once AI processing begins or Tokens are consumed

Payment Terms:

  • All fees are stated in US dollars and are non-refundable except as required by law and except as set out in the Money-Back Guarantee below
  • You must provide valid payment information for paid Subscription Plans
  • We may suspend services for non-payment after reasonable notice
  • Usage limits apply based on your Subscription Plan and available Token balance

Money-Back Guarantee — One-Time Export:

This guarantee applies only to a one-time export purchase — a single conversion of a source repository into a HubSpot or WordPress theme. It does not apply to Subscription Plans, Token purchases or any other fees, which remain non-refundable as set out above.

  • When we refund: If a one-time export does not deliver a working result and our team is unable to correct it within 10 business days of you reporting the problem, we refund the purchase price. This is the only circumstance in which a one-time export is refundable.
  • When we do not refund: Where the outcome follows from the source material or from you. This includes source code that was already broken or incomplete, or would not build before export; a repository relying on frameworks, dependencies or patterns we have stated we do not support; changes made to the export after delivery, by you or a third party; failures of a third-party service outside our control, including your repository host or CMS; and a change of mind, or an export that works as described but not as you had hoped.
  • How to claim: Contact support@transjt.ai within 5 days of delivery, with the repository and a description of the problem. We may need access to the source project to reproduce it. We will always attempt to fix an export first — the guarantee covers what we cannot put right, and is not an alternative to support.
  • How the refund is paid: To the original payment method, for the purchase price less transaction charges, which the payment provider levies and we cannot recover.
  • Precedence: Where this guarantee applies it prevails over the general statement that fees are non-refundable. It does not limit refund rights you may have under mandatory consumer law.

Enterprise Terms: Enterprise customers may have separate written agreements that supplement or modify these Terms.

8. WARRANTIES AND DISCLAIMERS

Service Disclaimers:
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AI Output Disclaimers:

  • AI-generated Output may contain errors, inaccuracies, or bugs
  • You must review and test all Output before use in production
  • We do not warrant that Output will be accurate, complete, or suitable for your purposes
  • Output may infringe third-party intellectual property rights

9. LIMITATION OF LIABILITY

Liability Cap:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  • ONE HUNDRED DOLLARS ($100), OR
  • THE AMOUNT YOU PAID US IN THE 6 MONTHS PRECEDING THE CLAIM

Excluded Damages:
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Essential Allocation: These limitations reflect an essential allocation of risk and form the basis of our agreement.

10. INDEMNIFICATION

Your Indemnification: You agree to defend, indemnify, and hold harmless transjt, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services or Output
  • Your violation of these Terms or applicable laws
  • Your infringement of third-party rights
  • Any Content you submit to our Services

Mutual Indemnification (Enterprise): For Enterprise customers with written agreements, we may provide mutual indemnification for certain intellectual property claims subject to separate terms.

11. TERM AND TERMINATION

Term: These Terms remain in effect while you use our Services.

Termination Rights:

  • By You: Cancel your Account anytime through Account settings
  • By Us: We may suspend or terminate your access for Terms violations, non-payment, or other reasonable business reasons

Effect of Termination:

  • Your right to use the Services immediately ends
  • You may continue to use Output you generated before termination
  • We may delete your Account data after providing reasonable notice
  • Repository contents copied through a connected integration are retained while your Account remains active. You may request their deletion at any time by contacting support@transjt.ai, and we will delete them within 30 days of your request. Disconnecting an integration stops further processing but does not by itself delete contents already copied, or Output already delivered to you
  • Sections that by their nature should survive will remain in effect

 

12. DISPUTE RESOLUTION

Governing Law: These Terms are governed by Delaware law, without regard to conflict of law principles.

Arbitration Agreement (US Users): FOR US USERS: Any dispute arising from these Terms or the Services will be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except for small claims court matters.

EU Consumer Rights: EU consumers retain rights under local consumer protection laws and may bring disputes in their local courts or through EU dispute resolution mechanisms.

Class Action Waiver: You agree that disputes will be resolved individually and not as part of a class action or collective proceeding.

13. EXPORT CONTROL AND SANCTIONS COMPLIANCE

Export Restrictions: Our AI services incorporate controlled technology that may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR). You agree to comply with all applicable export control laws.

Prohibited Users and Uses:

  • Located in, resident of, or organized under laws of any U.S. embargoed country
  • Listed on any U.S. government restricted party list (SDN, BIS Entity List, etc.)
  • Acting on behalf of any prohibited party or in violation of applicable sanctions

Technology Transfer Restrictions: You may not share, transfer, or provide access to generated code or our services to any prohibited parties or for prohibited end uses, including military, nuclear, or dual-use applications without proper authorization.

User Certification: By using our services, you represent that you are not subject to any sanctions or export restrictions that would prohibit your use of our AI services.

Professional Compliance: If you use our Services professionally, you remain responsible for meeting industry standards, professional obligations, and regulatory requirements.

14. BETA FEATURES

We may offer beta, experimental, or preview features that are:

  • Provided "as is" without warranties
  • Subject to change or discontinuation without notice
  • Not covered by our standard support terms
  • May have additional usage restrictions

15. THIRD-PARTY SERVICES

Integrations: Our Services may integrate with third-party tools and services. Your use of such integrations is governed by the third party's terms and privacy policies.

No Warranty: We do not warrant the availability, functionality, or security of third-party services.

16. MODIFICATIONS TO TERMS

We may modify these Terms from time to time. We'll notify you of material changes via email or through the Services. Continued use after such notice constitutes acceptance of the modified Terms.

17. GENERAL PROVISIONS

  • Entire Agreement: These Terms, together with our Privacy Policy at https://transjt.ai/privacy and any additional terms for specific Services, constitute the entire agreement between you and transjt.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Assignment: We may assign these Terms or any rights hereunder without your consent. You may not assign these Terms without our written consent.
  • No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
